A management level attorney primarily responsible for overseeing (i) the corporate secretary function of the publicly traded company by providing legal advice to management and members of the board of directors on securities laws and corporate governance practices and (ii) the ERISA and benefits legal function.  The attorney will supervise a group of attorneys providing related legal services and support staff members.  Responsible for providing Business Units with efficient, high-quality legal services relating to governance and SEC disclosure legal issues and ERISA and benefits legal issues.  Provides legal services as a practicing counsel.


  • Provides strategic leadership and advisory role in connection with all aspects of corporate governance, federal securities law compliance matters and ERISA and beneftis practice areas; provides counsel and guidance to officers and executives of corporation and members of the board of directors regarding these areas
  • Effectively manages, monitors and assists in the career development of the group’s attorneys, para-professionals, and staff members and ensures that appropriate evaluation procedures are conducted
  • Prepare, and revise as necessary, budgets and early matter assessments for all matters involving outside counsel; oversee outside counsel
  • Works with entire company legal function to continually improve delivery of legal services for particular practice areas
  • Perform significant projects / duties as assigned by the General Counsel


  • Provides legal services as an experienced counsel, and directly manages relationships and matters with Business Units and outside counsel
  • Able to think strategically and work with Business Units to achieve Company objectives and manage risks
  • Experienced in project management and supervision of professionals, paraprofessionals, and other staff members



  • An LLB or JD from an accredited law school and be licensed to practice law in the relevant jurisdictions
  • At least 12 years of professional experience and widely recognized distinction for corporate secretary/governance practice
  • Possesses and applies a comprehensive knowledge of legal field to the completion of complex assignments
  • Extensive knowledge of SEC and other applicable legal entities


  • Robust experience in corporate secretarial practice area gained through leadership or senior role at publicly traded company
  • Ability to strategically manage presentation of issues and pace decision-making in keeping with director fiduciary duties
  • Ability to advise on disclosure issues
  • Knowledge and experience in institutional investor engagement efforts
  • Dealing with shareholder proposals, from investor engagement, negotiation, to no-action letter expertise
  • Proxy statement and 10-K drafting experience, advising on other external-facing reports, e.g., EEOC diversity, corporate sustainability reports, etc.
  • Insider trading expertise, including Section 16  
  • Experience in financings a plus
  • Experience in executive compensation and related disclosures and in ERISA and benefits practice area
  • Experience advising and collaborating with communications and investor relations
  • Collaborative leader able to motivate collegial team actions for success
